Noetic Alignment is a boutique agency that owns and operates this website, providing content marketing services. By accessing this website or using our services, you consent and agree to these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between Company and you (personally and on behalf of any entity you represent).

BY ACCESSING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS, WHICH CONTAIN ARBITRATION PROVISIONS, CLASS ACTION WAIVERS, AND LIABILITY LIMITATIONS.

1. Intellectual Property Rights

The Site and all Content, including text, graphics, logos, images, software, and their selection and arrangement, constitute copyrighted works under Indian copyright laws and are the property of Company or its licensors. All trademarks and service marks are proprietary to the Company or their respective owners, who have granted the Company usage rights.

Subject to compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for personal, non-commercial purposes. You may not modify, reproduce, distribute, create derivative works from, publicly display, or exploit any Content without the Company's express written consent. Unauthorized use violates copyright laws and may result in monetary damages and penalties.

2. User Conduct and Eligibility

You must be at least 18 years of age and legally competent to use this Site. By using the Site on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

Prohibited Conduct.

You agree not to:

  • Interfere with or damage Site operations or underlying technology
  • Impersonate any person or entity or misrepresent your identity

  • Violate intellectual property rights of Company or third parties
  • Engage in conduct that damages Company's reputation or business

3. Services and Scheduling

The company provides social media content marketing services for deep tech companies and scientists. Specific service terms, deliverables, timelines, and fees shall be set forth in separate written agreements.

Consultation scheduling is facilitated through Calendly integration. Your use of Calendly is subject to their terms of service and privacy policy. By scheduling consultations, you consent to receive electronic communications from Company regarding services and related matters.

4. Privacy Policy

Company's collection, use, and disclosure of personal information is governed by the Privacy Policy, incorporated herein by reference. By using the Site, you consent to such collection, use, and disclosure as described therein.

5. Disclaimers and Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

The Company does not warrant that the Site will be uninterrupted, error-free, secure, or that the Content will be accurate. The company makes no guarantees regarding specific results or business outcomes from Services.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF SUCH POSSIBILITY.

COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR SERVICES IN THE 2 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.

7. Indemnification

You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site or Services; (b) breach of these Terms; (c) violation of third-party rights; or (d) content you provide to Company.

8. Dispute Resolution

Informal Resolution.

Before formal proceedings, you must contact the Company at noeticalignment@gmail.com and allow 60 days for informal resolution attempts.

Arbitration.

Any dispute shall be resolved through binding arbitration administered by the Indian Arbitration Association under its Commercial Arbitration Rules. The arbitrator shall have exclusive authority to resolve disputes relating to these Terms. Judgment on the award may be entered in any competent court.

Class Action Waiver.

ARBITRATION MUST BE INDIVIDUAL. NEITHER PARTY MAY JOIN OR CONSOLIDATE CLAIMS OR PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

Exceptions.

This arbitration provision does not apply to: (a) intellectual property disputes seeking injunctive relief; or (b) small claims court actions under $500.

Governing Law.

These Terms are governed by Indian law without regard to conflict of laws principles. Any non-arbitrable disputes shall be resolved in state.

9. General Provisions

Entire Agreement.

These Terms, the Privacy Policy, and any service agreements constitute the entire agreement and supersede all prior understandings.

Modification.

Company may modify these Terms at any time. Material changes will be posted with seven (7) days notice. Continued use constitutes acceptance.

Assignment.

You may not assign these Terms. Company may assign without restriction.

Severability.

Invalid provisions shall be severed; remaining Terms shall remain enforceable.

Waiver.

The company's failure to enforce any provision does not constitute a waiver.

Survival.

Sections regarding intellectual property, indemnification, liability limitations, and dispute resolution survive termination.
